End User Licence Agreement (EULA)

This End User Licence Agreement (“EULA”) is a legal agreement between you (“you” or “Member”) and BlockPhi (“BlockPhi”, “we”, “us”, or “our”) and governs your access to, and use of, all proprietary content, research, frameworks, scripts, models, templates, software, and data (together, the “Licensed Material”) that we make available to paying members through www.blockphi.com, the BlockPhi private community on Discord, Whop, the analytics subdomain analytics.blockphi.com, and any related service (the “Services”).

This EULA forms part of, and should be read together with, our Terms of Service, Privacy Policy, and Refund Policy. By creating an account, completing checkout for any paid tier, or otherwise accessing any Licensed Material, you accept this EULA.

1. Definitions

  • “Licensed Material” means all material made available to Members through the Services, including, without limitation: written research, market commentary, frameworks, methodologies, charts and visualisations, dashboards, datasets, indicator scripts, TradingView Pine scripts, spreadsheets, models, calculators, code snippets, video content, audio content, presentation decks, templates, and any updates, modifications, or derivatives of the foregoing.
  • “Permitted User” means the natural person who has created the BlockPhi membership account and whose payment is in good standing.
  • “Permitted Use”means use of the Licensed Material by a Permitted User for that user’s own personal, non-commercial investment decisions and personal learning, and for no other purpose.
  • “Membership” means any active paid membership, subscription, lifetime-access product or other paid access tier offered by BlockPhi through Whop or another authorised payment or access provider, including any successor or replacement tier.

2. Licence grant

Subject to your continuous compliance with this EULA, the Terms of Service, and the acceptable use rules as provided in those documents, BlockPhi grants you, the Permitted User, a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Licensed Material solely for the Permitted Use for the duration of your active Membership.

The licence is granted “as accessed” through the Services. No copy of the Licensed Material is sold, licensed in perpetuity, or otherwise transferred to you. All rights not expressly granted in this EULA are reserved by BlockPhi and its licensors.

3. Ownership

The Licensed Material is owned by BlockPhi or its licensors and is protected by copyright, database rights, trademark, trade secret, and other intellectual-property laws of Belgium, the European Union, the United Kingdom, the United States, and other applicable jurisdictions.

Nothing in this EULA transfers any title, intellectual-property right, or moral right in the Licensed Material to you. Trademarks, logos, service marks, and trade dress of BlockPhi (including the BlockPhi name and lion mark) may not be used without our prior written consent.

4. Restrictions

In addition to the acceptable-use obligations in Section 9 of the Terms of Service, you will not, and will not permit any third party to:

  1. Redistribute or publish.Copy, reproduce, post, share, publish, broadcast, display, perform, or otherwise make available any Licensed Material — whether in original or modified form, in whole or in part — to any person or entity outside your own private use. This includes, without limitation, posting screenshots, summaries, or excerpts of paid Licensed Material on social media (such as X / Twitter, LinkedIn, Telegram, YouTube, Reddit, Discord servers other than the BlockPhi community, Substack, Medium, blogs, podcasts, or any forum, channel, or chat).
  2. Resell or sublicense. Sell, resell, rent, lease, lend, sublicense, distribute, transfer, or commercially exploit the Licensed Material or your access credentials.
  3. Account sharing. Share your account credentials, allow any other person to use your Membership, operate group accounts, or create or use multiple accounts to circumvent per-account limitations.
  4. Competing products and derivative works. Use the Licensed Material or the Services to create, develop, test, improve, validate, support, or operate any product, service, course, signal feed, mirrored community, copy-trading vehicle, automated trading bot, model, framework, dataset, dashboard, or other deliverable that is based on, incorporates, reproduces, substitutes for, or competes with the Licensed Material or the Services, whether intended for your own use or for any third party.
  5. AI / ML training and ingestion. Use, scrape, upload, disclose, or supply any Licensed Material as training data, fine-tuning data, prompt context, retrieval material, evaluation or benchmarking data, or other input to any machine-learning model, generative-AI system, large-language model, automated agent, or retrieval pipeline, whether operated by you or by a third party and whether the resulting outputs are intended for you or for any other person.
  6. Reverse engineering. Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code, formulas, parameter values, calibrations, or trade-secret know-how underlying any Licensed Material, except to the limited extent that applicable law permits this notwithstanding a contractual prohibition.
  7. Bulk extraction. Scrape, crawl, mirror, harvest, or otherwise extract Licensed Material in bulk; circumvent any rate limit, paywall, technical-protection measure, or access control; or remove, alter, or obscure any copyright, trademark, watermark, or attribution notice.
  8. Misuse. Use the Licensed Material in any way that is unlawful, that violates the Terms of Service or community rules, that misleads other persons, or that is intended to manipulate any market, or otherwise falls outside the Permitted Use.

A breach of this Section 4 may constitute a material breach of this EULA and may also infringe BlockPhi’s intellectual-property rights. BlockPhi may suspend or terminate your access in accordance with Section 20 of the Terms of Service and may seek any remedy available under applicable law, including injunctive or other equitable relief and monetary damages.

5. TradingView scripts and code-based Licensed Material

Where Licensed Material includes Pine scripts, code snippets, spreadsheets, or other executable artefacts (“Code Material”):

  • Code Material is licensed for use only on the Permitted User’s own accounts (for example, your own TradingView account) and only for your own analysis and trading.
  • You may not republish Code Material, share it with non-Members, place it in any public or restricted-but-shared library or repository, or fork it into a public or shared workspace.
  • You may not remove or alter any embedded licensing, watermarking, or signature comments in the Code Material.
  • Code Material is provided “as is” without any warranty that it is free from defects, that it will execute correctly on any third-party platform, or that it will produce any specific result. Section 8 (Disclaimer) applies in full.

6. Updates and modifications

We may update, improve, modify, or withdraw any Licensed Material at any time. New material made available to your Membership tier becomes Licensed Material under this EULA on the same terms. We may discontinue specific scripts, frameworks, dashboards, or content tiers at any time, including for product, security, or commercial reasons.

7. Term and termination

This EULA is effective from the moment you first access any Licensed Material and continues for as long as your Membership is active.

This EULA terminates automatically:

  • when your Membership lapses or expires, when cancellation of your Membership takes effect, or when the relevant payment is refunded; or
  • when BlockPhi suspends or terminates your access in accordance with Section 20 of the Terms of Service.

Any suspension, notice, remedy period or termination relating to a suspected or confirmed breach of this EULA is governed by Section 20 of the Terms of Service.

On termination, the licence in Section 2 ends immediately. You must stop using the Licensed Material and delete or destroy any copies in your possession or control, including downloaded files, exported spreadsheets, locally saved scripts, screenshots, and notes that reproduce non-trivial portions of the Licensed Material.

Sections 3, 4, 8, 9, 10, 11, and 12 survive termination.

8. Disclaimer

The Licensed Material is provided “AS IS” and “AS AVAILABLE” for educational and informational purposes only.

The Licensed Material is not investment, financial, legal, accounting, or tax advice and is not a personalised recommendation. BlockPhi is not your broker, investment adviser, financial planner, or fiduciary. You are solely responsible for your investment decisions and for any resulting gains or losses.

To the fullest extent permitted by law, BlockPhi disclaims all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, security, and any warranty arising from course of dealing or usage of trade. Past performance of any framework, backtest, model, or strategy is not indicative of future results.

The full investment-risk disclosures in the Terms of Service apply to all use of the Licensed Material.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BLOCKPHI AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; FOR LOST PROFITS, LOST DATA, LOST OPPORTUNITY, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION; OR FOR ANY INVESTMENT LOSS OR TRADING LOSS ARISING FROM OR RELATING TO THIS EULA, THE LICENSED MATERIAL, OR YOUR ACCESS TO, OR YOUR RELIANCE ON ANY OF IT, REGARDLESS OF THE LEGAL BASIS OF THE CLAIM (CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL BASIS) AND EVEN IF THE LOSS WAS FORESEEABLE OR BLOCKPHI HAD BEEN ADVISED OF ITS POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS EULA, THE LICENSED MATERIAL, OR YOUR ACCESS TO, OR YOUR RELIANCE ON ANY OF IT, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BLOCKPHI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) EUR 100.

Nothing in this EULA excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, death, or physical injury caused by our negligence.

10. Indemnification

You agree to indemnify, defend, and hold harmless BlockPhi and its officers, employees, contractors, agents, affiliates, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Licensed Material outside the Permitted Use, (b) any redistribution or sharing of Licensed Material in breach of Section 4, (c) your violation of this EULA or any applicable law, or (d) any third-party claim that arises from your use or misuse of the Licensed Material.

11. Enforcement and remedies

A breach of this EULA, including a breach of Sections 3 (Ownership) or 4 (Restrictions), may cause loss or harm to BlockPhi. BlockPhi may seek any remedy available under applicable law, including injunctive and/or other equitable relief and monetary damages.

We may use technical and forensic measures to detect violations, including watermarking of materials, monitoring of public sources for redistribution, and analysis of access patterns. Confirmed violators may have their Membership terminated immediately without refund and be reported to platform partners (including Whop, Discord, and TradingView) and, where appropriate, to law-enforcement or regulatory authorities.

12. Governing law and jurisdiction

12.1. This EULA, the Licensed Material, and any contractual or non-contractual dispute arising out of or in connection with them are governed by Belgian law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12.2 Any such dispute or claim will be submitted, in accordance with section 12.3, to the exclusive jurisdiction of the Dutch-speaking courts of Belgium.

12.3 Before filing a claim, you agree to attempt in good faith to resolve the dispute informally by sending a written notice to contact@blockphi.com describing the claim and the relief sought. We will attempt to resolve the dispute within 60 days. If we cannot, either party may commence a formal proceeding in the forum designated in this Section. Any proceeding commenced without first complying with this Section shall be inadmissible.

13. Relationship to other agreements

This EULA supplements, and does not replace, the Terms of Service, Refund Policy and Privacy Policy. The documents apply cumulatively and are subject to the order-of-precedence provision in Section 28 of the Terms of Service.

14. Changes to this EULA

We may update this EULA from time to time to reflect changes in the Services, our intellectual-property practices, or legal requirements. Material changes will be reflected on this page with a new “Last updated” date and, where appropriate, brought to your attention. Your continued use of the Licensed Material after the revised EULA takes effect constitutes acceptance of the changes. If you do not accept them, you must stop using the Licensed Material and may cancel your Membership in accordance with the Terms of Service and Refund Policy.

15. Miscellaneous

  • Severability. If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be reformed to the minimum extent necessary to make it enforceable.
  • No waiver. Failure to enforce any right or provision of this EULA does not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer this EULA without our prior written consent. We may assign this EULA in connection with a merger, acquisition, reorganisation, or sale of assets.
  • No partnership. Nothing in this EULA creates a partnership, joint venture, agency, fiduciary, or employment relationship between you and BlockPhi.
  • Entire agreement. This EULA, together with the Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and BlockPhi regarding the Licensed Material.
